1. Acceptance of Terms
By accessing and using Appifex ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
These Terms apply to all users of the Service, including users who access via web browsers, mobile applications, and APIs.
2. Description of Service
Appifex is a cloud agent platform that helps users plan, build, and ship full-stack web and mobile applications through natural language prompts and project context. The Service includes:
- Agent-driven planning, implementation, and delivery for React, React Native, and FastAPI projects
- Automated project scaffolding, infrastructure, and deployment workflows
- GitHub repository creation and management
- Interactive review, editing, and previews of project outputs
- Project collaboration and sharing features
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
You must be at least 13 years of age to create an account. If you are under 18, you represent that you have parental or guardian consent to use the Service.
4. Use License and Code Ownership
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or commercial purposes.
You retain full ownership of all outputs (including code, configurations, and applications) you create using our Service. This includes the right to modify, distribute, sublicense, and commercialize those outputs without restriction.
We do not claim any ownership rights in your projects, prompts, or outputs. You are solely responsible for ensuring your use of outputs (including code) complies with applicable laws and third-party rights.
5. User Obligations
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service, servers, or networks
- Use the Service to generate malicious, harmful, or illegal content, including code
- Violate any third-party rights, including intellectual property rights
- Circumvent any rate limits or usage restrictions
- Resell or redistribute the Service without authorization
- Use automated means to access the Service except through our API
- Submit content that is defamatory, obscene, or harmful
6. Agent-Generated Content
The Service uses automated agent workflows and AI models to produce outputs such as code, configuration, documents, and deployments. You acknowledge that:
- Agent-generated output may contain errors, bugs, or security vulnerabilities
- You are responsible for reviewing and testing all outputs, including code
- Outputs may require modifications for production use
- Automated outputs may occasionally be incomplete or unexpected
- We do not guarantee the accuracy, completeness, or fitness of any output
You agree to review all outputs, including code, before deploying to production environments and assume full responsibility for any applications you build using the Service.
7. Appifex zero fair-use plan and payment terms
Appifex Zero is a free plan offered during early access under fair-use limits. Zero is designed for broad access and reliability, but it is not unlimited and does not include any uptime or support SLA. We'll update you before anything changes.
Zero limit categories include:
- Usage limits (fair-use consumption windows)
- Rate limits (rapid request throttling)
- Concurrency and queueing limits (shared build capacity)
- Active project limits
Zero limits and plan features may change at any time, including based on system demand, abuse prevention, and product updates.
You retain ownership of your project outputs and may export/sync your projects to external systems (including GitHub) at any time subject to applicable third-party terms.
Certain features of the Service may require payment. By subscribing to a paid plan, you agree to:
- Pay all applicable fees as described at the time of purchase
- Provide valid payment information
- Authorize recurring charges for subscription plans
- Accept that fees are non-refundable unless otherwise stated
We reserve the right to modify pricing with reasonable notice. Continued use of paid features after price changes constitutes acceptance of new pricing.
8. Beta Program
During beta periods, the Service is provided "as is" and may contain bugs, errors, or incomplete features. We reserve the right to modify, suspend, or discontinue any beta features at any time without notice. Beta features are provided without warranty or support obligations.
9. Intellectual Property
The Service, including its original content, features, and functionality, is owned by Appifex and protected by copyright, trademark, and other intellectual property laws.
Our trademarks, logos, and service marks may not be used without our prior written consent. Nothing in these Terms grants you any right to use our branding or intellectual property.
10. Third-Party Services
The Service integrates with third-party services including but not limited to:
- GitHub (code repository hosting)
- Vercel (application deployment)
- Expo (mobile app deployment)
- Clerk (authentication)
- Stripe (payment processing)
Your use of these services is subject to their respective terms of service. We are not responsible for the actions, content, or policies of third-party services.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPIFEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless Appifex and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
15. Termination
You may terminate your account at any time by:
- Mobile App: Go to Settings → Account → Delete Account
- Web: Click your profile icon → Security tab → Delete Account
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Delaware.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
